Legal Expert Descrizione del lavoro The Nippon Gases Italia Group is looking for a Legal Expert , in Legal Department structure and will be located in Milan. Key Responsibilities Drafting, reviewing and negotiating different kinds of contracts, in Italian and in English, including EPC contracts and plants’ purchase and sale contracts; Drafting standard agreements, templates and general terms and conditions; Legal assistance for M&A transactions, including divestitures, sale of assets, purchase of business units, merger and acquisition and due diligence; Assistance for litigation: coordination of the external lawyers and management of civil and administrative proceedings; Giving legal opinions and advice to internal clients; Compliance - Compliance Program and drafting of corporate procedures and internal trainings (including D.lgs 231/01, GDPR and Antitrust); Legal assistance on corporate governance matters, drafting of minutes of shareholders and board of directors meetings and of corporate by-laws, shareholders agreements and proxies. Job Requirements Master’s Degree in Law and Lawyer’s qualification; At least 7 years’ experience in a law-firm or in an international firm and in a company’s legal office. Required Skills Language requirements: full professional proficiency in English, spoken and written (knowledge of French is a plus); Attention to detail and a high degree of accuracy; Flexibility and ability to adapt to a constantly changing environment; Full commitment in terms of time and effort; High ethical standards and integrity, high level of discretion.
