Job Description
Key Responsibilities: Legal Leadership: Develop and oversee the banks legal strategy to safeguard its interests. Provide sound legal advice to the Board, executive management, and operational teams on a range of issues, including corporate governance, compliance, and regulatory matters. Ensure the banks activities comply with local and international laws and regulations. Company Secretary Duties: Serve as the Secretary to the Board of Directors, ensuring effective governance and communication between stakeholders. Prepare and manage all board and committee meetings, including drafting resolutions, meeting minutes, and maintaining statutory records. Guide the Board on corporate governance practices and regulatory obligations. Risk Management: Identify and mitigate legal and regulatory risks to support the banks strategic goals. Manage litigation and liaise with external legal advisors as necessary. Leadership & Collaboration: Build and lead a high-performing legal team. Collaborate with internal and external stakeholders to drive organizational success. Qualifications and Experience: Bachelors degree in Law (LLB); a Masters degree or additional qualifications in Law, Business Administration, or Governance will be an advantage. Admitted to practice law in DRC or another recognized jurisdiction. Minimum of 8-10 years of relevant experience in legal advisory roles, including corporate governance and regulatory compliance. Experience in the banking or financial services sector is a strong advantage. Proven track record of advising at the executive and board level.
