Our organization is urgently seeking a highly competent and dedicated Associate Corporate Counsel to join our legal team. This is a unique opportunity to work in a fast-paced, dynamic environment and play a pivotal role in managing a wide range of corporate legal matters. This position is an integral part of our team, responsible for providing comprehensive legal advice and support to our manufacturing operations. The successful candidate will be involved in a variety of complex business transactions, including mergers and acquisitions, joint ventures, and other strategic initiatives.
Responsibilities:
The Associate Corporate Counsel will be expected to:
1. Provide expert legal counsel on a broad range of corporate matters including transactional issues, corporate law, real estate, contract law, and intellectual property.
2. Draft, review, and negotiate a wide variety of contracts, including vendor contracts, framework agreements, warranty agreements, employment contracts, and confidentiality agreements.
3. Advise on compliance with various regulatory requirements and assist in developing and maintaining appropriate compliance programs.
4. Identify and manage legal risk within the organization, ensuring legal issues are raised to the appropriate level and addressed in a timely and appropriate manner.
5. Collaborate with various departments to ensure the company's operations are conducted in compliance with applicable laws and regulations.
6. Provide legal support for corporate transactions, including due diligence, drafting and negotiating transaction documents, and managing post-closing matters.
Qualifications:
To be considered for the Permanent Associate Corporate Counsel position, candidates must meet the following qualifications:
1. Juris Doctorate degree from an accredited law school.
2. 2+ years of experience as a practicing lawyer, preferably within the manufacturing or automotive industry.
3. Strong background in transactional law, contract law, and corporate law.
4. Experience in drafting and negotiating a wide variety of commercial contracts.
5. Familiarity with compliance and risk management principles.
6. Deep understanding of intellectual property rights and laws.
7. Excellent negotiation, communication, and interpersonal skills.
8. Ability to work independently, manage large workloads, and keep deadlines.
9. High degree of professional ethics, integrity, and gravitas.
