Senior Legal Counsel & Company Secretary - Listed

Are you an experienced corporate governance lawyer ready to make a significant impact at an international media and entertainment company?

Our client is seeking a Senior Legal Counsel to join their legal team and provide expert guidance across their UK operations. If you’re experienced in corporate governance, LSE listing rules and regulations, finance and securities, this could be the perfect next step in your in-house career.

Key Responsibilities:

• Corporate Law Support: Advise on corporate legal matters, support group structuring, and optimize global legal frameworks.
• Governance & Compliance: Ensure the UK-listed company remains compliant with all corporate governance standards and public company regulations.
• Contractual & Transactional Expertise: Draft and negotiate complex agreements, including Shareholders' and Share Purchase Agreements, credit facilities, and more.
• Stakeholder Collaboration: Work closely with teams across Finance, Treasury, HR, Operations, and Investor Relations, providing clear, commercially sound legal advice.
• Regulatory & Ad-hoc Projects: Stay ahead of industry regulations, support M&A activities, and contribute to special projects across the business.

What We’re Looking For:

• Qualifications: LLB (Hons) and qualified to practice in England & Wales or another Commonwealth jurisdiction.
• Experience: Minimum 6 years PQE, with 3+ years in private practice (corporate, M&A, capital markets, or corporate finance) and strong exposure to multinational environments.
• Industry Knowledge: Understanding of the media and entertainment industry is a plus, along with expertise in corporate governance, annual reports and public company regulations.
• Skills: Exceptional drafting, negotiation, and communication skills with the ability to manage complex legal matters in a fast-paced global company.
